Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ASG Rapid Dispatch website, dynamic dispatch pages, phone call routing features, and callback intake forms (collectively, the “Service”). By accessing the Service, clicking any telephone link, initiating a call to a number listed on our platform, or submitting an intake form, you explicitly agree to be bound by these Terms and our Privacy Policy. Pursuant to the Electronic Signatures in Global and National Commerce Act (E-SIGN), your interactive use of the Service constitutes an electronic signature having the full legal weight of a written, ink-signed agreement. If you do not agree to these Terms, you must immediately cease using the Service.

ASG Rapid Dispatch operates exclusively as a digital advertising, call routing, and non-exclusive referral platform. ASG Rapid Dispatch is not a licensed trade contractor, HVAC company, plumbing provider, electrical company, or emergency dispatch authority. ASG Rapid Dispatch does not employ field technicians, operate service vehicles, provide repair estimates, or perform physical work. Our sole function is connecting consumers seeking service with independent third-party contractors and automated call dispatch networks serving target municipal regions.

ASG Rapid Dispatch makes no representation or guarantee regarding contractor response times, standby availability, or emergency arrival times.

All service providers, technicians, or contractors dispatched or connected via the Service are independent third-party operators. Contractors are not employees, agents, joint-venturers, or representatives of ASG Rapid Dispatch. ASG Rapid Dispatch does not direct, supervise, control, or inspect the manner, means, tools, or safety protocols used by contractors performing work. Any contract for service, repair work, scope of labor, pricing, diagnostic fees, guarantees, or warranties is strictly and solely between you and the independent contractor you choose to hire.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT ASG RAPID DISPATCH DOES NOT PERFORM CRIMINAL BACKGROUND CHECKS, DRUG SCREENINGS, IDENTITY VERIFICATIONS, OR CREDENTIAL MONITORING ON INDEPENDENT CONTRACTORS OR THEIR EMPLOYEES.

You voluntarily assume all risks associated with contacting, hiring, contracting with, and granting physical property access to third-party service providers. You are solely responsible for taking reasonable precautions, verifying identity, and evaluating safety prior to allowing any individual entry into your residence or place of business.

ASG Rapid Dispatch makes no representation or warranty regarding the licensing, bonding, trade certification, or general liability insurance status of any referred contractor. Local and state trade licensing requirements (including state trade licensing boards) vary by jurisdiction. You are exclusively responsible for independently verifying that any contractor you hire possesses the necessary municipal permits, state licenses, and insurance coverage required to perform work on your property.

By providing your telephone number via web form, phone call initiation, or interactive SMS feature, you expressly consent to receive communications — including telephone calls, text messages (SMS/MMS), automated phone routing, and service status updates — from ASG Rapid Dispatch and its networkof independent service partners. You confirm that you are the authorized account holder for the provided phone number. Consent is not a condition of purchasing any property, goods, or services. Message and data rates may apply. Wireless carrier message frequency varies. You may revoke SMS consent at any time by replying “STOP” to any mobile message received, or request support by replying “HELP”. Mobile opt-in consent and phone numbers will never be sold, rented, or shared with third parties for unrelated marketing purposes.

ASG Rapid Dispatch does not charge consumers a fee to browse the Service, initiate telephone connections, or submit callback requests. ASG Rapid Dispatch does not set service prices, diagnostic rates, dispatch fees, or labor costs. All pricing, estimates, travel fees, and billing disputes are strictly between you and the independent contractor performing the work. ASG Rapid Dispatch never receives, processes, or stores consumer payment credentials or credit card data.

You agree to use the Service solely for legitimate, non-commercial emergency or routine home service referral inquiries. You are strictly prohibited from:

• Submitting false, misleading, or prank intake submissions;
• Using automated bots, scrapers, spiders, or data mining scripts to extract content, dynamic route parameters, or phone numbers from the Service;
• Attempting to bypass, disrupt, or compromise site security or call-routing architecture; or
• Reverse engineering or compiling any portion of the platform code or database structures.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

IN NO EVENT SHALL ASG RAPID DISPATCH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE OR ANY WORK PERFORMED BY INDEPENDENT CONTRACTORS. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR PERSONAL INJURY, BODILY HARM, WRONGFUL DEATH, PROPERTY DAMAGE, WATER DAMAGE, FIRE DAMAGE, THEFT, LOSS OF PROPERTY, EMOTIONAL DISTRESS, OR CRIMINAL ACTS COMMITTED BY THIRD-PARTY CONTRACTORS REFERRED THROUGH THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASG RAPID DISPATCH’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

You agree to defend, indemnify, and hold harmless ASG Rapid Dispatch, its parent entities, officers, directors, employees, contractors, and network partners from and against any claims, liabilities, damages, losses, judgments, demands, or legal expenses (including reasonable attorneys’ fees) arising out of or related to:

• your breach of these Terms;
• your violation of any applicable law or third-party right;
• your interactions with or hiring of any independent contractor referred through the Service; or
• any property damage or injury occurring on your premises during service visits.

All digital assets, logos, site copy, branding, dynamic routing templates, graphic designs, schema architectures, and proprietary software code comprising the Service are the exclusive intellectual property of ASG Rapid Dispatch and are protected under federal copyright, trademark, and trade secret laws. Unpermitted reproduction, duplication, or distribution of site assets is strictly prohibited.

ASG Rapid Dispatch shall not be liable for any delay, call-routing failure, server outage, or service interruption resulting from causes beyond its reasonable control, including but not limited to acts of God, severe weather events, winter freezes, hurricanes, power grid failures, telecommunications carrier outages, network congestion, cyberattacks, or third-party call buyer platform disruptions.

The Service is controlled and operated from within the United States and is intended exclusively for residents of the United States located within designated service territories. ASG Rapid Dispatch makes no representation that the Service is appropriate or compliant for use outside the United States. Accessing the Service from territories where its content or features are illegal is strictly prohibited.

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict-of-laws principles.

Binding Arbitration Notice: Except for individual claims brought in small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration hearing shall take place in Wake County, North Carolina, or remotely via teleconference.

30-Day Opt-Out Right: You may opt out of this arbitration agreement by mailing written notice to our contact address within thirty (30) days of your initial acceptance of these Terms.

YOU AND ASG RAPID DISPATCH AGREE THAT ALL PROCEEDINGS SHALL BE CONDUCTED IN AN INDIVIDUAL CAPACITY ONLY, AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE PROCEEDING. YOU HEREBY WAIVE ANY RIGHT TO A TRIAL BY JURY IN CONNECTION WITH ANY DISPUTE ARISING FROM THESE TERMS OR THE SERVICE.

If any provision of these Terms is deemed unlawful, void, or unenforceable by an arbitrator or court of competent jurisdiction, that specific provision shall be severed, and such severance shall not affect the validity and enforceability of any remaining provisions. These Terms and our Privacy Policy constitute the entire legal agreement between you and ASG Rapid Dispatch concerning the Service, superseding all prior oral or written representations.
